Terms of Service

These Terms of Service (“Terms”) govern access to and use of the website, software platform, artificial intelligence features, applications, and related services provided by Cognisense AI, Inc. d/b/a Cognisen (“Cognisen,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you access or use the Services on behalf of a government agency, business, or other organization, you represent that you are authorized to act on behalf of that organization.

1. Customer Agreements

Organizations using Cognisen may enter into a Master Services Agreement (“MSA”), Order Form, Statement of Work, Data Processing Agreement, security addendum, or other written agreement with Cognisen.

If these Terms conflict with an executed agreement between Cognisen and a customer, the executed agreement will control with respect to that conflict.

2. Services

Cognisen provides AI-powered software designed to support community supervision professionals and authorized organizations.

Depending on a customer's configuration, the Services may assist with documentation, reports, structured workflows, case information, evidence-informed supervision practices, data organization, system integrations, and other authorized operational functions.

Features may vary by customer, subscription, configuration, and implementation.

3. AI-Assisted Services and Human Oversight

Cognisen is designed to support professionals and strengthen their workflows. It is not intended to replace professional judgment.

AI-generated or AI-assisted outputs may contain errors, omissions, or incomplete information and must be appropriately reviewed by authorized users.

Final decisions regarding supervision, sanctions, detention, release, legal rights, eligibility, or other significant matters remain the responsibility of the applicable agency and its authorized personnel.

Cognisen does not provide legal, judicial, clinical, or other professional advice.

4. Authorized Users and Accounts

Access to certain Services is limited to authorized users affiliated with customers that have an agreement with Cognisen.

Users agree to:

  • Maintain accurate account information;

  • Keep login credentials confidential;

  • Use reasonable safeguards to prevent unauthorized access;

  • Access information only as permitted by their organization; and

  • Promptly report suspected unauthorized access or security incidents.

Customers are responsible for managing their users, access permissions, internal policies, devices, and networks.

5. Permitted and Prohibited Use

You may use the Services only for lawful, authorized professional, governmental, or administrative purposes.

You may not:

  • Use the Services for unlawful or unauthorized purposes;

  • Access data or systems you are not authorized to access;

  • Circumvent security or authentication controls;

  • Reverse engineer, decompile, or attempt to discover Cognisen source code except where permitted by law;

  • Introduce malware or malicious code;

  • Interfere with the security, availability, or integrity of the Services;

  • Misrepresent, falsify, or improperly manipulate information;

  • Use Cognisen proprietary technology to develop or train a competing product; or

  • Use the Services in a manner inconsistent with applicable laws, agency policies, contractual requirements, or data-security obligations.

6. Customer Data

“Customer Data” means information submitted to, transmitted through, stored in, or otherwise processed using the Services on behalf of a Cognisen customer.

As between Cognisen and the customer, the customer retains its rights in Customer Data.

Cognisen processes Customer Data only as necessary to provide, secure, maintain, support, and improve the Services in accordance with the applicable customer agreement, customer instructions, and applicable law.

Cognisen does not acquire ownership of Customer Data through its use of the Services.

Customers are responsible for ensuring they have appropriate authority to provide Customer Data to Cognisen.

7. Artificial Intelligence and Customer Data

Cognisen may use artificial intelligence, machine learning, large language models, retrieval technologies, and related systems to provide functionality within the Services.

Cognisen does not use Customer Data to train generalized AI models for unrelated customers unless expressly authorized in writing by the applicable customer.

Customer-specific data and AI functionality are handled in accordance with applicable customer agreements, security requirements, and customer configurations.

8. Data Privacy, CJIS, and Security

Cognisen maintains administrative, physical, and technical safeguards designed to protect information processed through the Services.

Where Cognisen is contracted and configured to process Criminal Justice Information (“CJI”), Cognisen maintains safeguards designed to support applicable Criminal Justice Information Services (“CJIS”) Security Policy requirements.

Cognisen uses encryption to protect data in transit and at rest and restricts access to authorized personnel.

Customers remain responsible for their own users, endpoints, networks, policies, access controls, and legal compliance.

No system can be guaranteed to be completely secure.

9. Confidentiality

Information accessed through the Services may be confidential, sensitive, legally protected, or restricted by a customer.

Users may access, use, download, disclose, or distribute such information only as authorized.

Additional confidentiality obligations may be established by an applicable customer agreement.

10. Intellectual Property

Cognisen and its licensors retain all rights, title, and interest in the Services, including software, designs, interfaces, algorithms, workflows, documentation, trademarks, and underlying technology.

Subject to these Terms and any applicable customer agreement, authorized users receive a limited, non-exclusive, non-transferable right to use the Services during the applicable agreement term and solely for authorized purposes.

No ownership rights in Cognisen intellectual property are transferred to users or customers except as expressly agreed in writing.

11. Third-Party Services and Integrations

The Services may integrate with third-party systems, applications, infrastructure providers, APIs, or technologies.

Third-party products and services may be subject to their own terms and privacy practices.

Cognisen is not responsible for third-party products or services outside its reasonable control except as expressly provided in a customer agreement.

12. Suspension and Termination

Cognisen may suspend or restrict access when reasonably necessary to address:

  • A security threat;

  • Unauthorized or unlawful use;

  • A material violation of these Terms;

  • A legal requirement; or

  • Circumstances otherwise permitted under an applicable customer agreement.

Customers may also revoke user access according to their own policies.

Upon expiration or termination, Customer Data will be handled in accordance with the applicable customer agreement, customer instructions, legal obligations, and applicable retention requirements.

13. Service Availability

Cognisen works to provide reliable Services but does not guarantee uninterrupted or error-free availability unless expressly stated in an applicable customer agreement.

Maintenance, upgrades, third-party infrastructure, internet connectivity, security incidents, and circumstances outside Cognisen's reasonable control may affect availability.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT AS EXPRESSLY PROVIDED IN AN APPLICABLE CUSTOMER AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

COGNISEN DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

COGNISEN DOES NOT WARRANT THAT AI-GENERATED OR AI-ASSISTED OUTPUTS WILL ALWAYS BE COMPLETE, ACCURATE, ERROR-FREE, OR APPROPRIATE FOR A PARTICULAR DECISION.

AUTHORIZED PROFESSIONALS ARE RESPONSIBLE FOR REVIEWING AND VALIDATING OUTPUTS BEFORE RELIANCE OR USE.

15. Limitation of Liability

To the maximum extent permitted by applicable law, and except as otherwise provided in an applicable customer agreement, Cognisen will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use the Services.

Any liability limits or allocations of risk contained in an applicable customer agreement will control for that customer.

Nothing in these Terms excludes liability that cannot legally be excluded.

16. Government Customers

If the Services are used by a federal, state, county, municipal, tribal, or other governmental organization, provisions of these Terms that the organization is legally prohibited from accepting will apply only to the extent permitted by applicable law.

Applicable procurement documents and executed customer agreements may supersede or modify these Terms.

17. Privacy

Our collection and processing of personal information is described in our Privacy Policy.

Customers are responsible for complying with laws, policies, records-retention requirements, and other obligations applicable to their use of the Services and Customer Data.

18. Changes to These Terms

We may update these Terms periodically to reflect changes in our Services, technology, legal requirements, or business practices.

When material changes are made, we will update the Effective Date above and provide additional notice where required.

19. Governing Law

Except where an applicable customer agreement or applicable law provides otherwise, these Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

Any dispute relating to these Terms will be handled in the forum established by the applicable customer agreement or, where no such agreement applies, in a court of competent jurisdiction in California.
